CONSTITUTION AND BYLAWS
of the FALCON SOUND ALLIANCE (FSA)

ARTICLE I

NAME:

The name shall be: Falcon Sound Alliance (FSA)

ARTICLE II

OBJECTIVES & PURPOSE:

  • To facilitate and maintain an enthusiastic interest in the various phases of the Falcon Sound.
  • To lend all possible support, both moral and financial, to the Falcon Sound.
  • To cooperate with the Band/Guard Director(s) and sponsors of the Falcon Sound, and to the Administration of Flanagan High School to confirm coordination of all activities and events with school activities and policies.
  • To build and maintain an organization of people who will help promote the general activities of the Falcon Sound.
  • Said organization exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law).

ARTICLE III

MEMBERSHIP:

Section 1 General Membership: Any Broward School Board approved General Membership volunteer may be a non-voting member of the Falcon Sound Alliance. General members shall not hold an office or chair a committee.

Section 2 Voting Membership: The Voting Membership of this organization shall be limited to parents and /or guardians of students enrolled in band or guard for any portion of the academic school year. Each parent and/or guardian shall be entitled to one vote.

Section 3 Terms of Membership: Terms of members shall be consistent with the organizations fiscal year, June 1 through May 31.


ARTICLE IV

OFFICERS:

Section 1 The elected officers of this organization shall be: President, Vice-President of Ways and Means, Vice-President of Operations, Secretary, Treasurer, Travel Coordinator, Special Events Coordinator, Guard Coordinator, and Member at Large.

Section 2 The Nomination and Election of Officers:
  • There shall be a nominating committee composed of three or five members who shall be selected by the President in February. The nominating committee shall consist of at least one, but not more than two of the current elected officers and the remainder from volunteers of the voting membership.
  • The nominating committee will present to the General Membership a slate of candidates for each office at which time nominees from the floor will be taken.

Section 3 Officers are to be elected at the annual meeting in April. Term of office will begin June 1, for a period of one year.

Section 4 In the event that any office is to be vacated for a period exceeding three months, or a vacancy exits on the board, the Executive Board shall name a replacement to carry out those duties until the next General Meeting when a replacement will be elected.


ARTICLE V.

DUTIES OF OFFICERS:

PRESIDENT - Shall preside at all executive board and general meetings of the organization, and shall be an ex-officio member of all committees. The President is able to create committee(s) as needed.

VICE-PRESIDENT OF OPERATIONS – Shall oversee chairpersons of chaperones, handyman/oops, social, uniforms, transportation, and other committees as deemed necessary by the executive board and shall be an ex-officio member of those committees.

VICE-PRESIDENT OF WAYS AND MEANS – Shall oversee chairpersons of all fundraising, publicity, stadium concessions, Carnival, and other committees as deemed necessary by the executive board and shall be an ex-officio member of those committees.

SECRETARY – Shall keep records and minutes of all general membership and executive board meetings and shall be responsible for all correspondence related to Falcon Sound activities.

TREASURER – Shall be directly responsible for all finances related to or pertaining to the Falcon Sound Alliance. The treasurer shall submit a financial report at each general meeting and executive board meeting. The Treasurer, with the approval of the Executive Board, may appoint an assistant for the exclusive purpose of collection of fees.

TRAVEL COORDINATOR – Shall coordinate all travel – including arranging itinerary, buses, hotels, meals and events.

SPECIAL EVENTS COORDINATOR – Shall organize committees and oversees and implements all special events such as Pre-Event Dinners, Band Camp, Video/Photo, Middle School Band Festival, Invitational, etc.

GUARD COORINATOR – Coordinates all Color Guard and Winter Guard activities including shows, competitions, and chaperones for such.

MEMBER AT LARGE – Shall oversee chairpersons of the Newsletter, the Membership/Volunteers, and the Alumni Committee; Acts as a liaison between all FSA members and the Executive Board; Serves as a readily available contact person.


ARTICLE VI.

THE EXECUTIVE BOARD:

  • The Executive Board shall be comprised of the nine officers who are parents/guardians of enrolled band or guard members.
  • The Executive Board shall have general supervision of the organization.
  • The Executive Board shall review and approve all committee activities before they are presented to the organization. (see Exhibit A for a listing of all committees/explanation of each, and Exhibit B for an organization of which committees are under which Board Representative)
  • Each position may consist of 2 persons (Co-), if deemed necessary or acceptable to the existing board. Each officer position has one vote.
  • The Executive Board shall nominate volunteers for the FSA scholarship committee. No officer or senior parent will be on the scholarship committee. Scholarships will only be awarded if funds are available.

ARTICLE VII

MEETINGS:

  • The Executive Board of the organization shall meet monthly.
  • General Membership meetings of this organization shall be held at least quarterly.
  • Special Meetings may be called by the President.

ARTICLE VIII

FINANCIAL INFORMATION:

Notwithstanding any other provision of these articles, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from Federal Income Tax under section 501 (c)(3) of the Internal Revenue Code of 1986 (or corresponding provision of any future United Stated Internal Revenue Law) or (b) by an organization to which contributions are deductible under section 170 (c)(2) of the Internal Revenue Code of 1986 (or corresponding provision of any future United States Internal Revenue Law).


ARTICLE IX

AMENDMENTS TO THE CONSTITUTION OR BYLAWS:

  • The constitution and bylaws may be amended by a two-thirds majority vote of the Voting Members of the organization who are present at the General Meeting.
  • Amendments must be presented to the Executive Board in writing at the preceding meeting of the organization.
  • The Executive Board shall give written notice to the voting membership in order for any proposed amendment to be considered by the organization in a meeting.
  • The Executive Board shall give at least 30 days notice to the voting membership before an amendment can be considered and voted on by the organization.

ARTICLE X.

DISSOLUTION:

Upon dissolution of the organization, the Executive Board shall after paying or making provisions for the payment of all of the liabilities of the organization, dispose of all of the assets of the organization exclusively for the purposes of the organization in such a manner, or to such organization or organization organized and operated exclusively for charitable, education, religious, or scientific purposes as shall at the time qualify as an exempt organization or organizations under section 501(c)(3) of the Internal Revenue Code of 1986 (or corresponding provision of any future United Stated Internal Revenue Law), as the Executive Board shall determine. Any such assets not so disposed of, shall be disposed of the Court of Common Pleas of the county in which the principal office of the organization is the located, exclusively for such purpose or to such organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

EXHIBIT A COMMITTEE LISTING

Transportation Membership/Volunteers Uniforms Handyman/Oops
Oversees the moving of equipment to/from performances and shows.

Distributes information about membership in the FSA and tracks members’ volunteer hours.

Fits and distributes uniforms as needed. Performs alterations, maintenance, and cleaning.
Performs the necessary clean-up and repairs of the program facility and equipment.
Chaperones Stadium Concessions Fundraising Pre-Event Dinners
Recruits, trains, and assigns volunteers to chaperone many activities of the Band and Guard programs.
Organizes concession sales for home events including the purchasing of goods and staffing by FSA volunteers.
Organizes and assists the Directors in running creative fundraisers to support the activities of the Band and Guard programs.
Organizes meals for students before games, performances, and events, including the purchasing of food and staffing by FSA volunteers.
Social Events Video/Photos Band Camp Publicity
Assists in the planning and organization of events such as concert receptions, Spring Awards, Banquet, picnics, and any other events as determined.
Takes pictures/videos of Falcon Sound events for use in the yearbook, publications, website, and the end of the year video.
Responsible for planning and organizing support activities for the summer band camps (including mini band camp.)
Responsible for correspondence with the community, including press releases.
Invitational Newsletter Carnival Scholarship
Responsible for the planning and organizing the yearly invitational, including staffing, tickets, equipment, etc.
Assists the Directors and Board by assembling and distributing an informational monthly newsletter.
Responsible for the planning and organizing of the yearly carnival, including staffing, tickets, equipment, etc.
Responsible for compiling the applications for scholarships and determining recipients.
Alumni Committee Nominating Committee    
Responsible for communicating band and guard activities to student and parent alumni.
Responsible for providing a slate of candidates for each office to the General Membership in April.
